Terms of Service

1. Acceptance of Terms

Gridifii ("Service") is a web‑based software‑as‑a‑service platform operated by Jinolo Pty Ltd (ABN 15 651 888 756) ("we", "us", "our"). By creating an account or using Gridifii you agree to be bound by these Terms and Conditions ("Terms") and our Privacy and Cookie Policies.

2. Definitions

  • "User" – Any person or entity that registers for or accesses the Service.
  • "Content" – Table‑based notes, data or materials you upload or create within the Service.

3. Accounts & Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. You are responsible for safeguarding your login credentials.

4. Subscriptions & Fees

Gridifii is offered on a subscription basis. Payments are processed securely through Stripe. Fees, billing cycle and renewal terms are presented at checkout. All fees are non‑refundable except as required by law.

5. Licence & Intellectual Property

We grant you a limited, non‑exclusive, non‑transferable licence to access and use the Service for your internal business or personal purposes. All intellectual property in the Service remains with Jinolo Pty Ltd and its licensors.

6. User Content

You retain ownership of Content you upload. You grant us a worldwide, royalty‑free licence to host, reproduce and display your Content solely to operate the Service. You represent that you have all rights necessary to grant this licence.

7. Prohibited Use

You agree not to:

  • Violate any applicable laws
  • Upload malicious code or content that infringes third‑party rights
  • Attempt unauthorised access to the Service or related systems
  • Use the Service to develop a competing product

8. Availability & Support

We aim for 99.9 % uptime but do not guarantee uninterrupted service. Planned maintenance will be scheduled outside peak hours where possible.

9. Termination

You may cancel at any time via your account settings; access will continue until the end of the paid period. We may suspend or terminate accounts for breach of these Terms.

10. Disclaimers

The Service is provided "as is" without warranties of any kind. We disclaim all implied warranties including merchantability, fitness for a particular purpose and non‑infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Jinolo Pty Ltd will not be liable for indirect, incidental, special or consequential damages, or loss of profits or data, arising from your use of the Service.

12. Indemnification

You agree to indemnify and hold harmless Jinolo Pty Ltd from any claim arising out of your Content, use of the Service, or breach of these Terms.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict‑of‑law principles. Disputes will be submitted to the exclusive jurisdiction of the courts located in Sydney, Australia.

14. Changes to Terms

We may modify these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
